These terms cover this website and our marketing services. If you have signed a proposal or scope of work with us, that document governs your project and these terms sit behind it.
Agreement to these terms
These terms apply to your use of this website and to the marketing services HoneyQuill Agency provides. By using this website, or by engaging us, you agree to them.
Where you have signed a separate proposal, scope of work or service agreement with us, that document governs the work. If it conflicts with these terms, that document takes precedence.
The services we provide
HoneyQuill Agency provides marketing services to businesses. Depending on what you have engaged us for, that may include website design and development, search engine optimization, local search visibility, paid search and paid social advertising, content marketing, social media management, branding and creative, email marketing, marketing automation, reputation management, analytics and conversion work.
What we will actually do for you is set out in your proposal or scope of work, not in this page.
Proposals, scope and changes
We prepare a written proposal before work begins. It sets out the strategy, the deliverables, the timeline and the investment. Work starts once you have approved it.
If you want something outside the agreed scope, we will tell you what it involves and what it costs before we do it. We will not add charges you have not agreed to.
Fees, invoicing and payment
Fees are as set out in your proposal. Monthly retainers are invoiced in advance for the coming month unless we have agreed otherwise. Project fees are invoiced according to the schedule in the proposal.
Advertising spend paid to a platform such as Google or Meta is separate from our fees, is billed by that platform, and is your responsibility.
Invoices are due on the terms shown on the invoice. If an invoice is significantly overdue we may pause work until it is settled, and we will tell you before we do.
Term, renewal and cancellation
Monthly services continue until either side ends them. The notice period is set out in your agreement. We will confirm any cancellation in writing and tell you what happens to work in progress.
Where work has already been carried out in a period, it remains payable.
Your responsibilities
Marketing works best when both sides hold up their end. You agree to:
- give us the access, information and approvals we need, within a reasonable time;
- make sure the information you give us about your business is accurate;
- tell us promptly if something changes that affects the work;
- comply with the rules of any advertising platform we run campaigns on for you.
Where a delay in approvals or access affects a timeline, we will let you know and adjust the schedule rather than rush the work.
Content you provide
You confirm that you own, or have permission to use, any logos, photographs, text, reviews or other material you give us, and that we may use it to deliver the services. You remain responsible for the accuracy of any claim you ask us to publish about your business.
We will not publish a claim we believe to be misleading, and we may decline to publish material we consider unlawful or harmful.
Ownership of work
Once you have paid for it, the final deliverables we create for you are yours. That includes your website, its content, and the assets we produced for you.
We keep ownership of our own tools, templates, internal processes and any pre-existing material we bring to the work. Where we license third party assets on your behalf, such as a stock photograph or a font, the license terms of that asset apply.
Your accounts, such as your domain, your Google Business Profile and your advertising accounts, remain in your name and stay with you.
Third party platforms
Delivering marketing usually involves third parties: hosting, search engines, advertising platforms, email tools and analytics. We do not control those platforms, their pricing, their policies or their availability, and we are not responsible for changes they make.
Where a third party service carries its own fee, that fee is separate from ours and we will make it clear before it is incurred.
Results and expectations
We work hard for results and we report on them honestly. We do not promise specific rankings, traffic levels, lead volumes or revenue, because no agency can control search engines, advertising auctions, competitors or the market.
What we do commit to is the work described in your proposal, carried out with care, measured against goals we agreed with you, and adjusted when the numbers say it should be.
Confidentiality
Each of us may learn confidential information about the other. Both sides agree to keep it confidential and to use it only for the purposes of the work. This does not apply to information that is already public, or that we are required by law to disclose.
Unless you ask us not to, we may mention that you are a client and show examples of the work in our portfolio.
Data protection and privacy
Our handling of personal information is described in our privacy policy. Where we process personal information on your behalf, we do so on your instructions and in line with that policy.
You are responsible for making sure that any customer data you give us was collected lawfully and may be used for the purposes you have asked us to use it for.
Warranties and disclaimers
We will perform the services with reasonable skill and care, in a professional manner, and in line with what was agreed.
Other than that, and to the extent the law allows, the services and this website are provided as they are. We do not warrant that this website will be uninterrupted or free of errors, and we are not responsible for the content of websites we link to.
Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of business or loss of data.
Our total liability arising out of the services is limited to the fees you paid us in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot lawfully be limited.
Indemnity
You agree to hold us harmless from claims arising out of material you supplied to us, claims you asked us to publish about your business, or your breach of these terms.
Suspension and termination
Either party may end the agreement if the other materially breaches it and does not put it right within a reasonable time after being told.
We may suspend or end services if we are asked to do something unlawful, misleading or harmful. If that happens we will explain why.

Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, and the courts of Pennsylvania have jurisdiction over any dispute arising from them.
Before anything formal, we would much rather talk. Call us and we will try to sort it out.
Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they were last changed. Changes do not affect an agreement already in place unless both sides agree.
